The Club is an informal structure bringing together businesses that appreciate the advantages of implementing the business integrity philosophy and share a common set of values such as transparency, integrity and ethical standards; the Club shall supports its members in achieving these goals and in developing their potential.
STRUCTURE
Any commercial entity or business organization may join the Club irrespective of its legal or corporate form.
In Club activities they shall be represented by persons who have been designated by them and have been duly approved.
Presidency of the Club shall be held alternatively between member organizations for a period of one year by order of joining the Club and shall have ceremonial functions.
In the event that more than one organization has joined the Club on the same date, presidency shall be assumed in alphabetical order based on the name of the company.
The Club shall have a Secretariat responsible for organizing its work. This function shall be performed by the Transparency International Association.
FUNDING
Annual membership fees shall be determined using a scale based on the turnover of the respective business. Small business shall be exempt from membership fees.
By mutual consent members may decide to make additional contributions for specific purposes.
Collected funds shall be used to finance Club activities, to achieve the goals of business integrity and to promote shared values such as transparency, integrity and ethical standards.
The Secretariat shall be responsible for overseeing the spending of the funds and reporting thereon on a regular basis.
MEMBERSHIP OBLIGATIONS
Club Members shall pledge to adhere to good governance principles and to develop and implement business integrity rules in their daily work.
In the event of a situation involving breaches of legislation or business integrity measures which could jeopardize the reputation of a Club member, the latter shall notify the Club’s Secretariat.
In such case the member may - of its own accord - decide to suspend its membership.
The Secretariat shall make an independent review of the situation and based on its findings may propose to the Management Board of the Transparency International Association to adopt a decision suspending or terminating membership.
In order to assess the situation, the Secretariat may request further information from the respective Club member.
If the Secretariat receives information about a situation involving breaches of legislation or business integrity measures which could jeopardize the reputation of a Club member, it may of its own motion take actions pursuant to item 15.
In the event that the situation involving breaches of legislation or business integrity measures threatening the reputation of a Club member has been resolved, the Secretariat shall make a reasoned proposal to the Management Board of the Transparency International Association to reinstate the member concerned.
An explicit statement by the respective Club member is required in order to reinstate membership.
